Exhibitor Info/Agreement & Schedule

1. Each “Classic” and “Premium” vendor booths include (1) 10’x10’x72″ space, including pipe and drape, one 8′ x 30″ skirted table, 2 chairs, 1 waste basket & 2 vendor badges and “Meet The Vendors” online logo advertising.

Each “Exclusive” vendor booth includes (1) 10′ x 15′ x 72″ space including pipe and drape, (1)8ft skirted table (1) 6ft skirted table, 3 vendor badges, 3 chairs, 1 waste basket and “Meet The Vendors” online logo advertising.

WiFi service is included with all booth purchases!

Two additional badges may be purchased for any booth 10′ x 10″ in size for $25.00 each. Two additional badges may be purchased for any booth 10′ x 15′ in size for $25.00 each. Electricity may be purchased for 40.00 per booth (this is a set vendor hall charge)

2. Sugarprism LLC understands and fully appreciates the time effort, work and great benefit vendors bring to any event so we are keeping our booth prices lower than the norm in exchange for a minimum $200.00 product donation to be used in our classrooms, swag bags or raffle prizes. Included with the booth purchase and product donation the vendor receives logo advertising on our “Meet The Vendors” page. A logo ad on our “Raffle Sponsor” page with a link back to your business website, a printed logo ad on our show flyer, logo ads on all of our social media pages (we maintain 7 pages) , live and verbal shout outs on our Sugar Art Expo social media pages, flyers and sponsor spotlights on a rotating video during the two day event ( length of time and quantity is dependent upon vendor booth selection, see booth descriptions)

3. Sugarprism Sugar Art Expo exhibitors must exhibit products and services that relate to the theme of our show. SUGAR ART, products/goods associated with baking, cake decorating and the sugar art industry.

4. Exhibitors shall be confined to exhibiting in their assigned booth or other designated demonstration area.

5. No Exhibitor shall assign, sublet or share any part of the allotted booth space. Sugarprism associates reserves the right to remove and or restrict any activity, exhibit or portion thereof which is considered unethical, in bad taste, annoying or otherwise offensive to attendees, exhibitors, Sugarprism associates or the industry.

6. No alcoholic beverages or unlawful substances will be allowed in the booths or exhibit area at any time.

7. The venue does not allow “meal” type consumables, therefore any food or sample items sold by the Exhibitor must be approved through the show coordinators and venue.

8. We will try to solidify floor plans as far out as possible , however the Expo coordinators reserve the right to reassign booth locations if needed.

9.All exhibit set-up and breakdown must be completed within the hours shown in the Exhibitor Schedule section of this contract.

10. The Exhibitor will abide by all provisions and rules of this contract, all governmental regulations and all rules and requirements of associated venues and service providers. A stage will be available for Exhibitors to demonstrate product in 30-minute intervals for Saturday and Sunday. Sign up will be available at time of booth purchase.

ACCESS & REGISTRATION

1. Your contract reflects the number of Exhibitor badges you are eligible for.

2. Exhibitors are encouraged to provide each person working in your booth with identification related to your company/brand (ex: company logo t-shirt or apron) and each person MUST wear their exhibitor badge during the entire duration of the show. It is prohibited to lend your badge to any other person

than whom they are assigned to. Any person violating this policy will be removed from the expo without refund.

3. Exhibitors are asked to make final sales 30 minutes prior to the end of the show each day and have their booth ready to vacate by the close of each day.

PAYMENT & CANCELLATION CONTRACT

1. Payment plans are available for booth purchases. Purchases may be made in full at the time of signing the contract or by selecting the payment plan option. If the payment plan is selected, the following procedure will be as follows: 30% of the total amount due for all items will be required at the time of signing the contract. Monthly payments will be processed on the 1st of each month with the credit card information on file.

2. Monthly payments will be calculated by dividing the balance due by the number of months remaining and paid in full 60 days prior to the expo date.

3. All charges and fees incurred by the as a result of returned checks, cancelled credit cards or any other reason beyond normal credit card processing fees must be paid by the contracting Exhibitor to Sugarprism LLC within 15 calendar days of being notified of the imposed fee.

4. Cancellation of any portion of the contracted items within two months of the show date will result in forfeiture of 50% funds paid. Cancellation of any portion of the contracted items within one month of show date will result in forfeiture of all funds paid. Exhibitor will relinquish all rights to the cancelled items.

HANDLING AND STORAGE

5. Due to possible unpredictable circumstances, Sugarprism LLC, associates of and their officers, directors, committees, agents and employees will not be liable for failure to hold the expo as scheduled. Payments for booth space will be returned in that event, except that any actual expense incurred in connection with the expo will be deducted if the expo is cancelled after the time specified for payment of the balance of the cost of assigned space, due to any event, law or regulation which makes it impossible or impracticable to hold the expo. If this occurs the expo would most likely but not guaranteed be held at a later date.

1. For a predetermined cost a provider will accept and store non-perishable items. Our event provider will transfer those items to the hotel for you. Upon receipt of your contract, your name will be passed on to our current event provider and in turn they will contact you with prices and information.

LIABILITIES

1. Exhibitor agrees officers, directors and representatives, the cooperating venues, hotels, local associations and their officers, directors and representatives will not be held responsible for any damage to or the loss or destruction of Exhibitor’s property, or injuries to the Exhibitor, their representatives, agents, or employees; all claims for such loss, damage, destruction or injury, being expressly waived by the Exhibitor. Sugarprism LLC and all of its associates will be indemnified and held harmless by the Exhibitor for any claims for injury to any of Exhibitor’s representatives, agents, or employees and for any claims by other persons for injury, loss or damage caused in whole or in part by the Exhibitor or its representatives or employees. Each Exhibitor should carry an insurance rider policy to cover exhibits and samples against destruction, loss and/or damages. Third party and liability coverage should be discussed with your insurance broker.

2. Exhibitors agree to Sugarprism LLC Parties that no materials used in connection with the Exhibitor’s exhibit violate the intellectual property rights, whether in patent, trademark, copyright or otherwise (“IP Rights”) of any other party. Exhibitor will release Sugarprism LLC Parties from any and all claims for injury, loss or damages caused by or relating to any claims that any other party has violated Exhibitor’s

IP Rights. Exhibitor releases the Sugarprism LLC Parties from any and all obligations for or liability relating to policing or determining whether any materials used by any Exhibitor violate any of Exhibitor’s IP Rights. Exhibitor releases the Sugarprism Parties from any and all obligations for and liability relating to failing to take any action to prevent the infringement or violation of any of Exhibitor’s IP Rights and releases the Sugarprism LLC Parties from any and all claims of contributory infringement as to any of Exhibitor’s IP Rights. Exhibitor further agrees that although the Sugarprism Parties shall not have any obligation for or liability relating to determining if any infringement or violation of any party’s IP Rights has occurred, or any obligation for or liability relating to failing to prevent or protect any party from damages for infringement or violation of such party’s IP Rights, Exhibitor releases the Sugarprism LLC Parties from any and all actions it may take relating to excluding Exhibitor from exhibiting at or participating at the expo in connection with any claim(s) that Exhibitor’s materials violate the IP Rights of any party. Any and all sales tax required to be collected by any local, state and/or federal government agency will be the sole responsibility of each Exhibitor. Sales Tax permits must be submitted along with the applicable tax payment to the government entity by each individual Exhibitor. Exhibitors will not be required to provide sales records to Sugarprism LLC Management as a condition of this contract. Any Exhibitor who does not comply with local, state or federal tax laws will be considered to be in violation of our policies and will not be allowed to participate in future shows until proof of compliance is provided.

Security. 1. Security will be present during our event, however they are not responsible for any Exhibitors property. We strongly recommend that each vendor schedule an employee to be present at the booth during all set-up, booth prep and sales hours.
